1. Introduction & Definitions

1.1 These Terms & Conditions ("Terms") govern your use of microrack.org (and all subdomains) and your purchase of Products.

1.2 "Seller," "Producer," "we," "us" and "MICRORACK Inc." refer to MICRORACK Inc., a Delaware corporation, located at 1111 b South Governors Avenue, STE 20388, Dover, DE 19904, USA.

1.3 "You" and "User" mean any authorized or unauthorized visitor of our site.

1.4 "Kickstarter Reward" means any product delivered as a reward for backing our Kickstarter campaign.

1.5 "Pre-Order Product" means any item purchased on our marketplace (microrack.org/market) marked with a "Pre-Order" badge, produced in batches and shipped individually—shipping no earlier than August 2025 and no later than six (6) months after purchase.

1.6 "In-Stock Product" means any item purchased on our marketplace marked with an "In Stock" badge, shipped individually within 3–5 business days of order.

2. Account Registration

2.1 You must register and provide a valid email to place an order, and supply shipping/billing address details.

2.2 We collect only your email, address, cookies (per our Privacy Policy) and payment data via Stripe.

2.3 No age or residency restrictions, except we ship only where Stripe accepts payments.

2.4 To suspend or close your account, email support@microrack.org.

3. Payment Terms

3.1 All payments are processed via Stripe; no other methods are accepted.

3.2 Prices are set to cover cost + margin; buyers are responsible for any import taxes, duties or customs fees.

3.3 Payment is captured at the time of order placement.

3.4 For failed or disputed payments, contact support@microrack.org.

4. Pricing & Currency

4.1 All prices listed in USD. We do not convert or re-bill in other currencies (except as Stripe may do on its side).

4.2 Prices cannot be changed once an order is placed, nor do we adjust for later price drops.

5. Shipping & Delivery

5.1 Flat shipping rate for Kickstarter Rewards: USD 30 per all rewards in the backing.

5.2 "Kickstarter" & "Pre-Order" orders fulfillment is handled via our global partner and local courier services in destination countries; "In-Stock" via standard carriers once inventory is available.

5.3 Estimated ship dates:

Kickstarter Rewards: July – August 2025
Pre-Order Products: August 2025 through (up to) six months post-purchase
In-Stock Products: within 3–5 business days of order

5.4 Delivery timeframe:

Kickstarter & Pre-Order: 14–21 days from shipment
In-Stock: varies by carrier & destination

5.5 Risk of loss and damage in transit is borne by the shipping provider.

5.6 "For Kickstarter" orders shipped to UK and EU VAT is included in shipping price. For all other "Pre-Order" and "In Stock" orders VAT is not included in prices; it is the buyer's responsibility to pay any applicable VAT or other taxes upon import.

5.7 We are not liable for customs delays, duties or taxes; these are the buyer's responsibility.

6. Cancellations, Returns & Exchanges

6.1

Kickstarter Rewards: cancellations only via Kickstarter; to cancel shipping/payment on our site, email support@microrack.org before refunding Kickstarter pledge.
Pre-Order Products: free cancellation up to 45 days after purchase; thereafter a 15% fee applies.
In-Stock Products: free cancellation any time before shipment.

6.2 No restocking fee except as above.

6.3 If an item arrives damaged or faulty: return at your expense for inspection. Upon our confirmation, we will either replace free of charge or issue a refund (we cover return shipping label; you cover outbound).

6.4 Refund timelines:

Unshipped orders: processed within 5 business days of request.
Shipped returns: processed within 45 days of our receipt of the returned item.

Refunds post-processing take additional time per payment method.

7. Intellectual Property

7.2 Site content is licensed under CC 3.0 BY-SA.

7.3 We do not accept or host user-generated content (UGC).

8. Warranties & Disclaimers

8.1 Products are DIY modular synth kits—not fully assembled devices.

8.2 Sold "as-is" with no express warranties.

8.3 All implied warranties (merchantability, fitness) are disclaimed to the fullest extent permitted by law.

9. Limitation of Liability & Indemnification

9.1 We are not liable for shipping damage, customs delays/fees, or any indirect, incidental or consequential damages.

9.2 You agree to indemnify and hold us harmless from any claims arising out of your misuse of Products or violation of these Terms.

10. Privacy Policy

All personal data handling is described in our Privacy Policy.

11. Governing Law & Dispute Resolution

11.1 These Terms are governed by Delaware law.

11.2 Any dispute must be resolved by binding arbitration under American Arbitration Association (AAA) rules, seated in Delaware, USA.

12. Changes to Terms

We reserve the right to update these Terms at any time. Notice of material changes will be posted immediately on this page and via updated links in our communications.

13. Force Majeure

We are not liable for delays or failures to perform due to events beyond our control, including but not limited to: wars, natural disasters, pandemics, supply-chain disruptions, strikes, fraud or transportation delays.

14. Miscellaneous

14.1 If any provision is held invalid, the remainder remains in force.

14.2 You may not assign your rights without our consent.
