1. Introduction & Definitions

1.1 These Terms & Conditions ("Terms") govern your use of microrack.org (and all subdomains) and your purchase of Products.

1.2 "Seller," "Producer," "we," "us" and "MICRORACK Inc." refer to MICRORACK Inc., a Delaware corporation, located at 1111 b South Governors Avenue, STE 20388, Dover, DE 19904, USA.

1.3 "You" and "User" mean any authorized or unauthorized visitor of our site.

1.4 "Kickstarter Reward" means any product delivered as a reward for backing our Kickstarter campaign.

1.5 "Market Product" means any item purchased on our marketplace (microrack.org/market).

2. Account Registration

2.1 You must register and provide a valid email to place an order, and supply shipping/billing address details.

2.2 We collect only your email, address, cookies (per our Privacy Policy) and payment data via Stripe.

2.3 No age or residency restrictions, except we ship only where Stripe accepts payments.

2.4 To suspend or close your account, email support@microrack.org.

3. Payment Terms

3.1 All payments are processed via Stripe; no other methods are accepted.

3.2 All prices listed in USD but Stripe may process and convert payments in other currencies by user's preference.

3.3 VAT, tariffs or import duties (if any) are not included in price and are covered by the customer on arrival.

3.4 If buyers fail to pay any applicable taxes or duties on arrival and the package is left unclaimed, their order cannot be refunded.

3.5 Prices cannot be changed once an order is placed, nor do we adjust for later price drops.

5. Shipping & Delivery

5.2 All orders are handled via our global fulfillment partner NextSmartShip, who transfers packages from warehouse in China to local courier services worldwide for last-mile delivery.

5.3 Shipping dates:

Kickstarter Rewards: Production complete, shipping started December 2025. The vast majority of orders were fully dispatched by February 2026.
Market Products: Shipping gradually starting March 2026.

5.4 Delivery time can vary by destinations, carriers and seasons.

5.5 Risk of loss and damage in transit is borne by the shipping provider.

5.6 VAT is not included in prices. Buyers are responsible for any import taxes, duties or customs fees.

5.7 If buyers fail to pay any applicable taxes or duties on arrival and the package is left unclaimed, their order cannot be refunded.

5.8 MICRORACK Inc. is not liable for customs delays, duties or taxes; these are the buyer's responsibility.

6. Cancellations, Returns & Exchanges

6.1 Cancellation & Refund Policies:

Kickstarter Rewards: Refund requests submitted after September 2025 can not be processed. Refunds requested before September 2025 are issued with a 50% fee (hardware, accessories and packaging are already manufactured with taxes paid on received income; refunds harm fulfillment for other backers). To request a refund, email support@microrack.org.
Market Products: Full refund up to 14 days after purchase before shipment; refunds requested after 14 days are issued with a 30% fee.

6.3 If an item arrives damaged or faulty: upon our confirmation, we will either replace faulty device free of charge or issue a refund. Delivery cost for replacement is paid by customer.

6.4 Refunds post-processing take additional time per payment method.

6.5 If buyers fail to pay any applicable taxes or duties on arrival and the package is left unclaimed, their order cannot be refunded.

7. Intellectual Property

7.2 Site content is licensed under CC 3.0 BY-SA-NC.

8. Warranties & Disclaimers

8.1 Products are DIY modular synth kits—not fully assembled devices.

8.2 Sold "as-is" with no express warranties.

8.3 All implied warranties (merchantability, fitness) are disclaimed to the fullest extent permitted by law.

9. Limitation of Liability & Indemnification

9.1 We are not liable for shipping damage, customs delays/fees, or any indirect, incidental or consequential damages.

9.2 You agree to indemnify and hold us harmless from any claims arising out of your misuse of Products or violation of these Terms.

10. Privacy Policy

All personal data handling is described in our Privacy Policy.

11. Governing Law & Dispute Resolution

11.1 These Terms are governed by Delaware law.

11.2 Any dispute must be resolved by binding arbitration under American Arbitration Association (AAA) rules, seated in Delaware, USA.

12. Changes to Terms

We reserve the right to update these Terms at any time. Notice of material changes will be posted immediately on this page and via updated links in our communications.

13. Force Majeure

We are not liable for delays or failures to perform due to events beyond our control, including but not limited to: wars, natural disasters, pandemics, supply-chain disruptions, strikes, fraud or transportation delays.

14. Miscellaneous

14.1 If any provision is held invalid, the remainder remains in force.

14.2 You may not assign your rights without our consent.
